David London's practice involves counseling both emerging and established companies with respect to the acquisition, protection, and commercialization of intellectual property rights and assets. David has extensive experience advising companies on the intellectual property aspects of commercial transactions, including mergers and acquisitions, joint ventures, and venture capital financing.
David represents both technology-based and more traditional “bricks and mortar” companies in connection with a wide variety of technology-related transactions and agreements, including the structuring and negotiation of strategic alliances, outsourcing agreements, development agreements, technology transfers, supply and VAR agreements, employment and confidentiality agreements, source code escrow agreements, and complex licensing arrangements, with a particular emphasis on software licensing, as well as patent, trademark, and copyright licensing. He counsels companies on a broad range of intellectual property issues, including trade secret and other intellectual property protection and enforcement, rights of publicity, fair use, and infringement. David regularly performs intellectual property audits to enable companies to ensure adequate protection and commercial viability of their proprietary rights, and in connection with mergers, acquisitions, and public offerings. He also advises clients on Internet and e-commerce issues, including Web site hosting and development, legal notices and compliance, privacy policies, and content, linking, internetworking, application service provider, and related technology agreements.
The entities David represents range from technology and Internet companies, such as software developers and vendors, Internet Service Providers, and computer chip and medical device manufacturers, to non-technology-based companies, including entertainment, energy, and telecommunications companies, sports teams, and construction and engineering firms, to private equity investors.
Upon graduation from law school, David served as a law clerk to The Honorable John C. Lifland, U.S. District Court for the District of New Jersey. Prior to joining Hogan & Hartson, David practiced with a large New York law firm.
