Hogan & Hartson is preeminent among corporate and securities firms worldwide, for a number of reasons. Foremost is our in-depth focus on each client’s business. Whether our client is a world-class global company or an entrepreneurial start-up venture, we understand the specific needs and expectations of each business we represent. We help our clients accomplish their current strategies, and guide them in achieving their future growth objectives. With years of experience representing companies in transactional matters and securities offerings, both in the United States and internationally, we have developed keen insights into the legal, regulatory, and business environments in which our clients operate.

Forming the backbone of this practice is an internationally-recognized team of talented lawyers with broad experience and in-depth knowledge. Our team includes Peter Romeo and Alan Dye, two of the preeminent authorities in the United States on compliance under Section 16 of the Securities Exchange Act. Other lawyers in our group formerly held high-level positions with the U.S. Securities and Exchange Commission (SEC). They stay up-to-the-minute on cutting-edge topics at the SEC. Because of our well-established relationships with SEC officials, we often resolve troublesome issues expeditiously by directing informal inquiries to specific members of the SEC staff. We advise clients on the best way to avoid or, where necessary, confront potential SEC problems.

Our securities lawyers advise both private and public companies on the complex legal issues surrounding corporate finance and capital-raising. We also provide counseling on the disclosure and regulatory obligations of public companies, as well as corporate governance matters, including compliance with securities laws and the rules of the securities exchanges, public company “best practices”, and governance issues affecting private companies.

Drawing from more than 1,100 professionals strategically located worldwide in the United States, Latin America, Europe, the Middle East, and Asia — we provide a full range of legal resources for virtually all business transactions. We closely coordinate with our lawyers engaged in tax, intellectual property, regulatory matters, mergers and acquisitions, capital markets, real estate, labor, and employee benefits. Our client-oriented focus, talented lawyers and superb practice area and geographic breadth combine to make our corporate and securities practice strong in reach and scope.
